Dear Valued Customer,
It has been brought to our attention that there are stories circulating in the media that report that Simmons Bedding Company is being auctioned on an equity exchange in Guangzhou. As a valued customer, we want to assure you that any reports or rumors to this effect are false.
As we announced on September 25, 2009, as part of our financial restructuring we have agreed to be acquired by certain affiliates of Ares Management LLC and Teachers’ Private Capital, the private investment department of the Ontario Teachers’ Pension Plan. This transaction remains on course and, as previously announced on November 16, 2009, we expect it to be completed pending the approval of our pre-packaged restructuring plan by the US Bankruptcy Court for the District of Delaware.

Simmons Co. Limited, Japan,
the holding company of
Simmons Bedding & Furniture (HK) Limited
and
Shanghai Simmons Bedding & Furniture Sales Limited
On 25th September, 2009, the U.S. company, Simmons Company, which is the licensor of Simmons Co. Ltd., announced that Simmons Company would pursue a restructuring plan under which new investors would acquire Simmons Bedding Company, its subsidiaries, and its parent company, and plans to enter into Chapter 11 proceedings to effect this. Currently, the business and operations of Simmons in US remain normal.
Simmons Co. Limited, Japan and its subsidiaries, do not have any capital relationship with the Simmons in the U.S. and there shall be no effect on the license for the use of trademarks, etc. in Asia.
Accordingly, we wish to inform our customers and business associates that there shall be no influence on the business and operations of Simmons in the Asia countries.
